Chief Meta Chicks Membership Terms & Conditions

1. This document contains the Membership Terms and Conditions that you agree to enter into with CHIEF META CHICKS PTY LTD (ABN 67 658 979 741) (“Chief Meta Chicks”, “we”, “us” or “our”), which provides services to assist individuals and companies to develop their careers, leadership skills and businesses by providing access to expert advice, information, resources and creating a business knowledge-sharing community. These Membership Terms and Conditions, as well as any other terms, conditions, policies, notices, disclaimers and/or codes of conduct as amended from time to time (collectively, the “Membership Terms”) apply to the use by any individual or company of our services, systems, information, materials, podcasts, equipment (which shall include the attendance by any individual of our online meetings, consultations, physical events) and/or any other product or service Chief Meta Chicks provides (together, “Services”). By virtue of the operation of our various memberships, all Chief Meta Chicks members, (which includes all attendees of our online and physical events, meetings and consultations) agree to be bound by these Membership Terms. Please read these Membership Terms carefully before becoming a Chief Meta Chicks member or using our Services.

2. We reserve the right to amend the Membership Terms from time to time with any amendment being effective immediately upon reposting of the Membership Terms. We will make best efforts to notify members of any changes to the Membership Terms. Continuing to keep an active Chief Meta Chicks membership or continuing to use our Services after any amendment will constitute your agreement to be bound by these Membership Terms, as amended.

3. These Membership Terms apply in conjunction with our Privacy Policy (which can be found at https://chiefmetachicks.com/privacy-policy and our Website Terms that apply to our website, https://chiefmetachicks.com (the “Website”), (which can be found at https://chiefmetachicks.com//terms-website which should be read together with these Membership Terms. To the extent of any inconsistency between these Membership Terms and our Privacy Policy or Website Terms, these Membership Terms shall prevail to the extent of the inconsistency.

4. By purchasing a Chief Meta Chicks membership, you hereby represent and warrant that:

a. You are 18 years of age or older;

b. You have the legal capacity (i.e. both mentally and physically) to enter into a legally binding agreement;

c. Any agreement is entered into freely and voluntarily;

d. Any service or discount offered by you in connection with the Services is valid and compliant with all applicable laws, standards, codes, regulations, permits and conditions in all countries in which those services or discounts are offered; and

e. You have read and accept these Membership Terms as well as our Website Terms and our Privacy Policy.

Membership Information

5. The Chief Meta Chicks membership you have activated will grant you a non-exclusive, non-transferable, revocable right to access the benefits associated with your Chief Meta Chicks membership, including access to the Services and only in accordance with the features and privileges associated with the type of membership you hold. Your membership is personal to you and may not be shared by more than one (1) individual or transferred or assigned to another person unless expressly authorised by us. In the case of memberships held by a company, the company may register nominated individuals for an account under the company’s membership and membership fees payable will be multiplied by the number of individuals nominated for that company. The company remains liable for the conduct of all individuals under its membership and for payment of membership fees. Any changes to the nominated individuals on a company’s membership must be authorised by us. You will only be entitled to receive the benefits of your membership during the period that your membership is valid and no member rights may be used in conjunction with any other membership or with the rights of any other member, unless otherwise specified.

6. When you purchase a Chief Meta Chicks membership or program from the applicable membership and program items available, you understand the benefits you will receive are as per what is outlined on our Website. You understand that you must check our Website for the most up-to-date pricing and benefits. As of 29/02/2024, the membership and program items available are as follows:

7. All fees above are inclusive of GST and are quoted in Australian dollars.

8. Upon signup to a membership and payment of the applicable membership fee, your membership will be valid until such time as you provide 30 days notice of cancellation. Your membership will automatically renew every year and you will be charged the full annual rate, as noted in the table in clause 6 above.

The applicable renewal rate will be charged indefinitely until your membership is cancelled, terminated or suspended.

Upon signup to a program and payment of the applicable program upfront fee or monthly fee schedule, your program will be valid until such time as you provide 30 days notice of cancellation. Your program will automatically end at the completion of the specified program dates.

For a period of 30 days following completion of a CMC Program you are entitled to a 10% discount on any CMC Membership or Program.

The applicable renewal rates will be charged indefinitely until your membership is cancelled, terminated or suspended.

If you wish to cancel your membership you must let us know in writing at least thirty (30) days prior in which case your membership will be terminated.

9. We reserve the right, in our sole and absolute discretion, to modify operation of any membership features or any Services and to make any other changes in the Membership Terms or the Services available for use by members. A Force Majeure may make it necessary for us to change our hours of use or restrict the use of the Services or to suspend the Services temporarily. The temporary unavailability of all or any part of the Services will not entitle you to a refund of any portion of your membership fees, unless otherwise specified. Use of the Services may be restricted or reserved from time to time as determined by us. In these Membership Terms, “Force Majeure” means any act of God, war, sabotage, riot, insurrection, civil commotion, national emergency, pandemic, terrorism, industrial action, transportation delay, communications, power or network failure, the effect of any applicable laws, government or public health orders, or any other matters beyond our reasonable control.

Additional Business Development Terms

If you purchase a CMC Coaching Program, a CMC No Gaps Business Growth Program or a CMC Pitch Perfect Program, or a CMC Coaching Retainer, Chief Meta Chicks will support, mentor and otherwise assist you to develop your business idea. Such support may include assistance in the fields of legal, executive and business coaching, finance advice, technology and/or marketing. Additionally, Chief Meta Chicks may, in its sole and absolute discretion, offer to invest in your business at any time after your business idea is supported for development. The investment by Chief Meta Chicks would take the form of a transfer of ownership of up to 10% of your business, which would in the case of a company include the issue of up to 10% of all ordinary shares in your company. The exact format and details of such support and the full details, terms and conditions of the ownership transfer will be determined on a case-by-case basis and determined in conjunction with you, us and our leaders, as set out in additional written agreement/s.

10. In addition to the above, options may be presented to you for additional investment in your business by one or more Chief Meta Chicks leaders who have assisted in the development of your business idea. Such additional investment would take the form of a transfer of ownership of a proportion of your business, which would in the case of a company include the issue of a proportion of all ordinary shares in your company to the individual Chief Meta Chicks leader/s who directly invest for a higher ownership stake in your business, as determined by you and the leader. The exact format and details of such investment and further support, and the full details, terms and conditions of the ownership transfer will be determined on a case-by-case basis and determined in conjunction with you and our leaders, as set out in additional written agreement/s.

11. In addition to the above, Chief Meta Chicks may support you to secure investment funding for your business by way of pitch preparation and the facilitation of introductions to potential investors for investment funding. Such investment would take the form of a transfer of ownership of a proportion of your business, which would in the case of a company include the issue of a proportion of all ordinary shares in your company to the investor as determined by you and the investor/s. The exact format and details of such investment and further support, and the full details, terms and conditions of the ownership transfer will be determined on a case-by-case basis and determined in conjunction with you and the investors, as set out in additional written agreement/s.. In consideration for the services provided by Chief Meta Chicks, the Founder agrees to pay Chief Meta Chicks a commission equal to 5% of the total investment funds secured by the Founder as a result of the introduction and facilitation services provided by Chief Meta Chicks. The commission shall be paid to Chief Meta Chicks within 14 days of the Founder receiving the investment funds. The payment shall be made by wire transfer or any other method agreed upon by both parties.

12. You agree to enter into any additional written agreement/s to give effect to the ownership of any stake of your business by us or any individual Chief Meta Chicks leader or investor.

Payment for Chief Meta Chicks Memberships and Payment of Chief Meta Chicks Programs (All Memberships and Programs)

13. If you wish to become a Chief Meta Chicks member or wish to utilise any Services requiring payment (such as booking a meeting with a Chief Meta Chicks leader), you are personally responsible for and agree to pay, using a valid credit card (or other form of payment which we or the applicable leader may accept from time to time), all applicable fees associated with: (i) your selected membership or program; and/or (ii) the use of any Services, as and when they fall due.

14. Chief Meta Chicks memberships, programs and Services requiring payment are payable via our Website in advance. Memberships and programs are payable in accordance with the membership or program selected, are billed upfront or at the specified monthly schedule and will be subsequently renewed in accordance with section 8 above. Membership and program fees will be charged to your approved payment method upon activation of your membership or reservation of your place in a CMC Program. Unless you terminate your membership with thirty (30) days’ notice prior to the automatic renewal date, you will continue to be charged annually in accordance with clause 8 above indefinitely until your membership is cancelled, terminated or suspended.

15. We may, from time to time, in our sole and absolute discretion, offer a discounted rate or trial period for our memberships or programs. Except as otherwise indicated at the time of signup to a discounted or trial period membership or program, the applicable standard membership fee you are charged after the expiry of the discount/trial membership period will depend on the membership or program you originally purchased. If you were eligible for a discounted rate for an initial discount/trial membership period but are no longer eligible for that rate, your membership will automatically be renewed at our applicable standard membership rate in accordance with section 8 above at the start of the relevant renewal period. In the event we cannot charge your approved payment method for the renewed membership fee, we reserve the right to terminate your membership and/or your access to some or all of the Services associated with your selected membership. If you do not wish to have your membership automatically renewed after the expiry of the initial discount/trial membership period, you must let us know in writing at least thirty (30) days prior to your intended date of cancellation. For clarity, at the end of the initial discount/trial period, unless you have advised otherwise, memberships will be automatically renewed in accordance with section 8 above, on an ongoing monthly basis.

16. We reserve the right to use the services of a third party billing provider to charge membership fee payments or payments associated with certain Services. By providing us with your credit card details (or other payment method approved by us), you authorise us or a third party billing provider to deduct from that credit card/approved payment method all fees and other charges you are responsible for under the Membership Terms. It is your responsibility to ensure that there are sufficient funds in your nominated account when the payments are to be debited. If there are insufficient funds in your nominated account, or there is another reason that your account is unable to be debited, you will be responsible for any administration fees and/or collection fees charged by us and any third-party billing provider.

17. If you fall into arrears in respect of any membership fees payable, all arrears must be paid by you in full before you can use the Services associated with your membership or receive further applicable membership benefits, and you authorise us or a third party billing provider to deduct any arrears from your credit card/approved payment method at any time without further notice to you.

18. If you do not pay any applicable fees when due, we reserve the right to:

a. charge a late payment fee for any overdue amounts – this charge may change at any time in amount or frequency;

b. charge an administration fee to forward any outstanding accounts to a third-party collection agency; and/or

c. terminate, suspend or amend your membership or refuse access to any Services until full payment has been made.

19. We are not liable for any fees incurred by you from your credit card provider for any late fees or charges incurred for failing to meet your membership or Services fee payment requirements.

20. If you seek to terminate your membership or stop the automatic debit arrangement in a manner not prescribed in the Membership Terms, you may be liable to us for damages for breach of contract.

21. You must tell us if you are transferring or closing your membership, at least thirty (30) daysbefore your next direct debit. You must also tell us about any changes to your credit card/approved payment method, such as an expiry date or number, at least thirty (30) daysbefore your next direct debit. All membership and Services fees include all government taxes and rates including GST and we reserve the right to change your membership fees or fees charged for any Services in line with any government tax and rate changes.

22. We reserve the right to increase charges and fees, or to institute new charges or fees at any time (only to take effect following the end of a current 12 month period), upon thirty (30) days’ advance notice communicated to you through means as we may deem appropriate from time to time (including email or regular mail). Unless you notify us otherwise and seek to cancel your membership at least thirty (30) days before the increased charges or fees take place (which will result in the cancellation of your membership at the end of the next full annual billing period), you authorise us (or a third party billing provider) to charge the increased membership fee and make direct debits from your nominated credit card/approved payment method.

Use of Our Services

23. Our Services are to be used only for their ordinary intended purposes and you agree to comply with all reasonable directions given to you by us and our staff at all times while using our Services.

24. While using our Services, you agree:

a. Not to use our materials or property to conduct business or paid services without our written consent;

b. You will comply with these Membership Terms, the Website Terms, or any other terms or policies that apply to your membership or use of our Services;

c. Not to use the Services for any illegal activities including sending spam to any individual;

d. To use any Services only for the ordinary intended purpose and in accordance with any reasonable instructions given by us and our staff;

e. To behave courteously and considerately to all Chief Meta Chicks staff and leaders and other members at all times and refrain from any inappropriate behaviour such as bullying or harassment; and

f. Not to engage in any misconduct or misbehaviour with regard to any of the Services owned or operated by us or any other member.

25. We reserve the right in our sole and absolute discretion to refuse access to our Services or to cancel your membership immediately for any breach or suspected breach of these Membership Terms, the Website Terms, or any other terms or policies that apply to your membership or use of our Services, or for any conduct by you which has the potential to harm our business or reputation, which will not result in a refund of any fees paid.

26. By using the Services, you expressly agree that to the full extent permitted by law: a) all use of the Services is undertaken at your sole risk, and we shall not be liable for any injuries, loss or damages to you or any other persons in relation to or as a result of your use of the Services or any assistance or advice offered by us or our leaders; and b) Chief Meta Chicks and its affiliates, officers, directors, representatives and employees (including leaders) shall not be subject to and are hereby released and forever discharged from any claims or demands whatsoever, including, without any limitation, those claims or demands resulting from any acts or omissions or negligence on the part of Chief Meta Chicks, or their affiliates, officers, directors, shareholders, partners, agents, representatives or employees (including leaders); c) unless expressly stated otherwise, any advice or assistance offered by Chief Meta Chicks or any leaders is not to be taken as professional, financial or legal advice and that independent advice should be sought in individual cases.

Member Warranties

27. As part of your membership, interaction with the Website and participation in the Chief Meta Chicks community, you have the ability to provide content and material to be published on the Website, which may include the your contact details and location, information or guidance, details of products/services, photographs, copy, footage, images and other material and content that may be specified or otherwise required as part of your membership, interaction with the Website and participation in the Chief Meta Chicks community (“Content”).

28. By publishing, posting, distributing or otherwise communicating any Content you warrant and represent that any Content:

a. is accurate and complete;

b. is not false, misleading or defamatory;

c. is not prejudicial to our reputation; and

d. does not breach any third party rights, applicable laws, standards or codes.

29. We do not have an obligation to check any Content for legal compliance or accuracy. Members are responsible for any errors or omissions featured in their Content. We reserve the right to reformat, edit, accept, refuse or withdraw any material for publication or distribution in our discretion. All Content must comply with our specifications notified from time to time.

30. All intellectual property including copyright, trade marks, designs, patents and rights to registration thereof, on the Website and any related materials including the website, applications, software, tools, trade marks, logos, names, concepts, methodologies, data and other materials (excluding the Content), is solely owned by Chief Meta Chicks. No right, title or interest in such intellectual property passes to any member. You grant Chief Meta Chicks a worldwide, royalty-free, non-exclusive, irrevocable license to publish, and to sub-licence the publication of, the Content, within the Website, and outside of the Website for the purposes of promoting Chief Meta Chicks. You warrant that you have the right and authority to grant us the license referred to herein.

31. If, you, at any time, provide any services, advice or assistance to any other Chief Meta Chicks member, you warrant that:

a. you have the relevant skills, qualifications, training, experience or knowledge to provide any such services, advice or assistance;

b. any such services, advice or assistance will be provided with all due care skill and diligence and in accordance with all applicable laws, standards, codes, regulations, permits and conditions;

c. you will have and maintain any applicable memberships, licences, permits or consents to provide such services, advice or assistance;

d. you will not assume or create any obligation on behalf of or in the name of Chief Meta Chicks; and

e. you take full responsibility for any services, advice or assistance that you may provide to any other member including full responsibility in relation to delivery, third party claims or otherwise.

32. You agree that you have no authority to make any representation, warranty or statement on behalf of Chief Meta Chicks in relation to the Website, and we accept no liability in this regard.

Bookings and Transfer/Cancellation of Bookings

33. Individual bookings with Chief Meta Chicks leaders are subject to the availability of each Chief Meta Chicks leader and will be confirmed prior to the time of your booking.

34. Bookings for meetings with Chief Meta Chicks leaders, online meet-ups and physical events are essential and if a fee must be paid to attend, the fee must be paid in full in advance.

35. If you make a booking and fail to attend at the time of your booking, we may, in our sole and absolute discretion, cancel your booking and any other bookings you have made, and no refund will be offered, unless otherwise specified.

36. The following cancellation notice periods apply to the following Services:

a. Bookings with Chief Meta Chicks leaders: Minimum 48 hours’ notice.

37. If you fail to notify us or a Chief Meta Chicks leader (as applicable) of your intention to cancel a booking without providing the relevant notice, you will forfeit your booking and no refund will be offered, unless otherwise specified. If the minimum notice period to cancel a booking has elapsed or you otherwise wish to, you may transfer a booking to another member, which may be done without penalty but only by agreement in writing by us or the relevant Chief Meta Chicks leader (as applicable). To transfer a booking, you must provide written notice to us or the relevant Chief Meta Chicks leader (as applicable) within a reasonable time period to transfer the booking. If the transferee is not a current Chief Meta Chicks member, they must become a member before accepting the transferred booking. No transfers will be permitted unless the fee for the booking has been paid in full and in advance.

Cancellation or Termination of Membership

If you wish to cancel your membership you must provide us with thirty (30) days’ written notice before the end of the next full monthly billing cycle, however no refund will be offered, subject to any rights you may have under the Australian Consumer Law, as enshrined within Schedule 2 of the Competition and Consumer Act 2010 (Cth). If you cancel your membership without the required notice before the end of any applicable renewal period has elapsed, you may access our Services for the remainder of the renewal period, but no refund will be offered. We will attempt to process your cancellation request promptly after we receive it.

39. We may cancel your membership at any time, effective immediately, for any of the following reasons:

a. Engaging in any inappropriate behaviour or misconduct;

b. Putting the health, safety or wellbeing of our staff, Chief Meta Chicks leaders or other members at risk;

c. Failure to pay any part of your membership fees or any other fee/s within the required time period;

d. Committing a breach of these Membership Terms;

e. Providing details that you know to be false when activating your membership and which may have affected our decision to grant your membership;

f. Any other reason that we may in our sole and absolute discretion reasonably determine to render you unsuitable for membership.

40. Upon cancellation or termination of your membership for any reason:

a. We may:

i. without limiting any other right or remedy, recover any other reasonable costs and expenses we may incur as a result of your membership termination;

ii. collect the full outstanding amount of your membership fees (or any other outstanding fees) for the remainder of the current annual billing period and any other arrears when the membership is terminated; or

iii. use third parties to assist in the collection of outstanding fees owed and you will be liable for these costs; and

b. Your membership will be immediately deactivated and you will no longer be granted access to our Services, except as may be otherwise provided from time to time.

41. In addition, you understand and agree that the cancellation or termination of your membership is your sole right and remedy with respect to any dispute with us including, without limitation, any dispute related to, or arising out of: (i) any terms of these Membership Terms or the enforcement or application of these Membership Terms; (ii) your ability to access your membership and/or use the Services; or (iii) the amount or types of our fees or charges, surcharges, applicable taxes, or billing methods, or any change to our fees or charges, applicable taxes, or billing methods, provided always that this is subject to any rights you may have under the Australian Consumer Law, as enshrined within Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Complaints and Feedback

42. If you have any complaints, concerns or feedback about any matter relating to your membership or with regard to Chief Meta Chicks in general, you may contact us at info@chiefmetachicks.com. You may not, under any circumstances, reprimand any of our staff or leaders for alleged misconduct.

43. Any complaints in relation to services, advice or assistance provided by any Chief Meta Chicks leader should be made directly to that leader.

Personal Information

44. In order to provide you with a membership, we collect your personal information (“PI”) and may use, store and disclose your PI to third parties including but not limited to agents, contractors and service providers for the purpose of providing you a membership and its related benefits, and for providing you access to our Services. Membership is conditional on providing this PI. We will also use and handle PI as set out in our Privacy Policy, which can be viewed at http://chiefmetachicks.com/privacy-policy. The Privacy Policy also contains information about how you may opt out, access, update or correct your PI, how you may complain about a breach of the Australian Privacy Principles or any other applicable law and how those complaints will be dealt with.

Indemnification

45. You agree to indemnify, hold harmless and, at our option, defend us and our affiliates, and our and their officers, directors, employees, agents and representatives (including leaders) from any and all third party claims, liability, damages and/or costs (including, but not limited to, reasonable attorney's fees and expenses) arising from:

a. your improper use of any of our Services, products or services (including, without limitation, your membership);

b. your violation of these Membership Terms;

c. your access to our Services;

d. any Content (including but not limited to your creation/distribution of Content or your reliance on any Content);

e. your attendance at any Chief Meta Chicks event (whether physical or online);

f. your reliance on any support or advice provided by a Chief Meta Chicks leader; and/or

Warranty and Limitation of Liability

46. To the fullest extent permitted by law we do not make any representation or warranty of any kind in relation to any representations, goods, services provided by a Chief Meta Chicks leader, nor in relation to the accuracy, completeness or appropriateness of any information or advice, provided by a Chief Meta Chicks leader. For the avoidance of doubt, Chief Meta Chicks shall not be liable for and does not endorse any services, advice or assistance that may be provided by any leader who is a separate provider.

47. Nothing in these Membership Terms, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth), as well as any other implied warranties under the Australian Securities and Investments Commission Act 2001 (Cth) or similar consumer protection laws in the States and Territories of Australia (“Non-Excludable Guarantees”). All warranties, representations and implied terms (except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees) and any liability which may arise in relation to your use of your membership or access to our Services is expressly excluded to the maximum extent permitted by law.

48. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, to the maximum extent permitted by law, Chief Meta Chicks (including our affiliates, partners, suppliers, licensors, licensees and leaders) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under our control); (b) any theft, unauthorised access or third party interference; (c) use of your membership or any other services provided by us; (d) access to or use of our Services; or (e) any message or information that is late, lost, altered, damaged or misdirected due to any reason beyond the reasonable control of Chief Meta Chicks.

49. Where liability cannot be excluded, any liability incurred by Chief Meta Chicks is limited to the re-supply of the membership or services again or the reasonable costs of having the membership or services re-supplied.

Governing Law

50. These Membership Terms will be governed by and interpreted in accordance with the laws of the State of Victoria, Australia and you hereby consent to the exclusive jurisdiction and venue of the Courts of Victoria, Australia in all disputes arising out of or relating to the Membership Terms or your use of our Services.
